Subject to all terms of this release (“Release”) the Academy of Television Arts & Sciences (“Television Academy”) grants you the non-exclusive permissions set forth below in connection with the 73rd Annual Primetime Emmy Awards (“Program”), which is currently scheduled to be exhibited on CBS and Paramount+ (each, a “Network”) on Sunday, September 19, 2021. You agree as follows:

  1. Interviews
    1. You may record interviews (“Interviews”) conducted by you of Emmy Awards nominees, presenters, attendees and the like on the Program’s red carpet and in the CBS telecast media center (the “Media Center”) and “b-roll”/general footage of those venues (“Ancillary Footage”).
    2. During and for a reasonable time after the Program’s conclusion, you may also record Interviews conducted by you of winners and other attendees in the Media Center.
    3. The Interviews and the Ancillary Footage (collectively, “Recorded Footage”) may only be exhibited, displayed, or otherwise used as part of your news program covering the Program, as follows: (i) no more than five (5) distinct two (2) minute segments per hour of the Recorded Footage may be transmitted on a live basis by a national network or cable broadcast prior to or during the Program, or in the immediate hours following the Program; and (ii) the Recorded Footage may be used without the restrictions set forth in clause (i) after the initial U.S. coast-to-coast network broadcast of the Program, but in no event earlier than 12:01 am the day after the initial broadcast of the Program.
  2. Clips from the program
    1. You may use excerpts from the Program (“Clips”) only in the segment of your news program (broadcast, syndicated and/or streaming) covering the Program, and for no other purpose whatsoever. The aggregate length of all Clips used will not exceed two (2) minutes, with no individual Clip exceeding 30 seconds in length. The Clips from the Program are available for use from the conclusion of the initial network broadcast for seven (7) days, including, if later, the week-end following such period for weekend-type news programs.
    2. In the case of news reports in foreign countries, subject to any clearance required from the broadcaster in the territory in which you broadcast (if not you), the Clips may be used during a reasonable period (up to seven [7] days, or such longer time as may be approved in writing by or under authority of the chief operating officer of the Television Academy) following the first broadcast (including Internet) transmission of the Program in the territory in which you broadcast, if later than the initial network broadcast in the United States.
    3. Except for transmission of the Clips for broadcast news purposes as specifically provided herein, you are not permitted to broadcast, “stream” or otherwise transmit any Clips without a written agreement with the Television Academy to do so. For any uses after the dates specified above, written permission must be obtained from the Television Academy, which may be granted or withheld at the Television Academy’s sole discretion.
    1. As between the Networks, Television Academy and you, Television Academy is the sole owner of all copyrights and exclusive rights in and to the Clips, and you shall give the Networks and Television Academy a courtesy credit for its grant of permission to use the Clips in the form of: “Courtesy of the Television Academy and CBS.” The Network’s logos shall not be obscured and must be used as provided.
    2. You shall obtain all required music and legal clearances, including without limitation, payments to third parties, music costs and any residuals or reuse fees due and/or payable pursuant to any and all personal services contracts and/or collective bargaining agreements necessary for your use of the Clips and Recorded Footage (collectively, the “Emmys Content”) from all performers and persons who are featured or otherwise rendered services in connection with the Emmys Content, from all persons who appear recognizably in the Emmys Content, as well as consents from all unions and guilds to the extent any of their respective members performed in or in connection with the Emmys Content. If music is in the Emmys Content, or ambient music is heard in the Emmys Content, you will also obtain music synchronization licenses from the owners of the music, if required.
    3. You acknowledge that the Television Academy and the Networks have made no warranty or representation whatsoever, express or implied, with respect to the Emmys Content or your use thereof, except that Television Academy represents that it has the right to permit use of the Emmys Content subject to all conditions of this Release (including third-party clearances as provided in Paragraph E. above).
    4. You shall defend, indemnify and hold harmless the Television Academy, the Networks, their respective parent, subsidiary and affiliated companies, their owned and affiliated stations, and each of their respective officers, directors, agents, representatives, employees, successors and assigns, from and against any and all losses, actions, claims, demands, liabilities, damages or costs (including reasonable attorneys’ fees) of any kind or nature whatsoever which may arise out of or result from your unauthorized use of any of the Emmys Content or any other footage related to the Program, or your breach of this Release.
    5. The rights, permissions, and authorizations granted under this Release are specifically for the benefit of your news broadcast program only, and shall not be assigned or transferred without written permission from the Television Academy.
    6. Violation of any of the provisions above will be grounds for immediate revocation of the rights and licenses granted in this Release. You acknowledge that your presence at the Program and/or Pre-show or Post-Show indicates your agreement with all of the foregoing.
    7. This Release shall be governed by the laws of the State of California without regard to its conflict of laws principles.
